1. PURPOSE AND SCOPE

EDA Pty Ltd issues this opinion to formally state its regulatory position regarding the legal characterisation of EDA Coin, a blockchain-based digital token native to the EdaFace Ecosystem and EdaChain network.


The purpose of this opinion is to confirm that, based on its design, functionality, and manner of issuance, EDA Coin is not a security token, but a utility token intended for functional use within the EdaFace blockchain platforms and EdaChain network.


This opinion considers commonly applied regulatory frameworks and interpretive tests in the following jurisdictions:

• European Union

• Federal Republic of Nigeria

• Republic of Kenya

• Republic of South Africa

• Republic of Uganda

• United States of America
